These terms apply to your use of eyadera.com and its pages (the "Site"), operated by Eyadera LLC ("Eyadera", "we"). By using the Site you accept these terms.

Legal information

1. What these terms cover

These terms cover browsing the Site and using its pages and forms. They do not cover paid services. Paid services (the Eyadera Operations Diagnostic and any other engagement) are governed only by an Order Form signed electronically by both parties and the Master Services Agreement it refers to (/legal/msa).

2. Business use only

The Site and our services are for businesses. By using the Site you confirm that you are using it for business purposes and are at least 18. We do not sell to consumers.

3. Information on the Site

The Site describes our services and gives general information about operations in B2B businesses. It is not advice for your specific business, and it is not legal, tax, accounting, engineering or financial advice. Examples and sample reports on the Site use fictional companies and are labelled as such. Prices and offers on the Site are invitations to buy, not binding offers. A contract forms only when both parties sign an Order Form electronically. There is no online, checkbox or pay-to-accept route.

4. Acceptable use

Do not: misuse the Site or try to break its security; scrape it with automated tools beyond normal search-engine indexing; upload malware; use the Site to send spam; enter information you have no right to share; or use the Site in breach of law.

5. Intellectual property

The Site, its text, design, graphics, sample reports and tools belong to Eyadera or its licensors. You may view and print pages for your own business evaluation. Any other use needs our written permission. "Eyadera" is our trade name. If you send us suggestions about the Site or our services, we may use them without any duty to you, and we will not name you as their source without your consent.

5a. What you share with us

We keep the answers and files you give us in the questionnaire or on a call confidential. We use them to prepare your offer and, if you sign, under our Master Services Agreement, which then replaces these terms for that information. We do not publish anything that identifies you or your company without your written consent. We also learn from what we see: we may keep general lessons (for example, how a type of workflow usually runs) after removing anything that identifies you, your company or your people, and use them to improve our methods, tools and templates, even if you don't go ahead. We never use your answers or files to train any AI model, and our AI providers are bound not to train on them. How we handle personal data is in our Privacy Notice; the service providers we share it with are listed in section 5 of our Privacy Notice.

6. Links

Links to other sites (for example, our payment provider Stripe and our meeting-booking page on HubSpot) are for convenience. Their own terms apply to their services; we remain responsible for how we set up and use our own booking page (see our Privacy Notice, section 9).

7. No warranty

The Site is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Site will be error-free or always available.

8. Limitation of liability

To the extent the law allows, Eyadera is not liable for any indirect, incidental, special or consequential damages or lost profits arising from your use of the Site, and our total liability for any claim about the Site is limited to US$100. This section does not limit liability that cannot be limited by law, and does not apply to paid services, which are governed by their own contract.

10. Governing law and venue

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Disputes about them go to the state or federal courts located in Laramie County, Wyoming.

11. Changes

We may update these terms by posting a new version with a new date. The version on the Site when you use it applies.

12. People make the decisions

Our services may use software agents that work in the background: they gather information, prepare drafts and run routine steps inside the client's own tools, and they ask a person when a decision is needed. They are not a chat assistant. Four things always stay with a person and are never done by software on anyone's behalf: approvals, negotiation, signing and payment. This applies to Eyadera's own business (every quote, order and invoice from Eyadera is approved, agreed and signed by a person) and to anything we set up for a client (a person chosen by the client approves, negotiates, signs and pays). This section describes how we design our services; the binding terms for paid services are the Order Form and the Master Services Agreement (section 1).
